Nessi Wholesale Terms & Conditions

These Wholesale Terms & Conditions ("Terms") govern all wholesale purchases made from Nessi Foods ("Seller", "we", "our", "us"). By applying for a wholesale account and/or placing an order, you ("Buyer", "Customer") agree to the following terms.
1. Eligibility & Account Approval
Wholesale accounts are available exclusively to qualified business customers (retailers, distributors, restaurants, and food service professionals).
- All wholesale applications are subject to review and approval.
- We reserve the right to approve or reject any application at our sole discretion.
- Wholesale pricing is not available to consumers and may not be shared publicly.
2. Minimum Order Quantity (MOQ)
- The minimum opening order and re-order amount may vary by product or category.
- MOQ details are communicated at the time of account approval or within the wholesale catalog.
- Orders below the minimum may be refused or adjusted.
3. Pricing & Payment Terms
- All prices are listed in USD and are subject to change without prior notice.
- Accepted payment methods are specified at checkout.
- Unless otherwise agreed in writing, full payment is required before order fulfillment.
- Wholesale pricing is confidential and strictly reserved for approved accounts.
4. Sales Tax & Resale Certificate
- Sales tax will be applied unless a valid resale certificate is provided.
- Buyers claiming tax exemption must upload a valid resale certificate during account registration or before placing an order.
- Nessi reserves the right to verify tax-exempt status and charge sales tax if documentation is invalid or missing.
5. Order Processing & Shipping
- Orders are processed within standard business hours (Monday–Friday).
- Shipping timelines are estimates and may vary depending on product availability and carrier delays.
- Shipping costs are the responsibility of the Buyer unless otherwise stated.
- Risk of loss transfers to the Buyer once the order is handed to the carrier.
6. Returns, Damages & Claims
- All wholesale sales are final.
- Returns are not accepted unless products arrive damaged or defective.
- Any claim for damaged or incorrect items must be reported within 48 hours of delivery, with supporting photos.
- Approved claims may result in a replacement or credit at our discretion.
7. Product Handling & Resale
- Buyer agrees to store, handle, and sell products in compliance with all applicable food safety and local regulations.
- Products may not be repackaged, relabeled, or altered without written authorization.
- Online resale on third-party marketplaces (Amazon, Walmart, etc.) is not permitted without prior written approval.
8. Intellectual Property & Branding
- All trademarks, logos, images, and product descriptions are the exclusive property of Nessi.
- Buyer may use approved marketing assets solely for the purpose of reselling Nessi products.
- Any unauthorized use of branding or content is strictly prohibited.
9. Account Suspension or Termination
We reserve the right to suspend or terminate a wholesale account if:
- Terms are violated
- Payments are overdue
- Products are misused or resold improperly
- False or misleading information is provided
10. Limitation of Liability
Nessi shall not be liable for indirect, incidental, or consequential damages arising from the resale or use of its products. Our liability is limited to the value of the goods purchased.
11. Governing Law
These Terms shall be governed and interpreted under the laws of the State of California, without regard to conflict of law principles.
